1. Determination of
selection criteria
The NC evaluates the balance of skills, knowledge, experience
and gender of the Board and, in light of such evaluation and in
consultation with the Board, prepares a description of the role
and the essential and desirable competencies for a particular
appointment to complement and strengthen the Board and
increase its diversity.
2. Search for suitable
candidates
The NC would consider candidates proposed by the Directors,
key management personnel or substantial shareholders, and
may engage external search consultants where necessary to
source for potential candidates.
3. Assessment
of shortlisted
candidates
The NC would meet with and interview the shortlisted
candidates to assess their suitability to ensure that the
candidates are aware of the expectations and the level of
commitment required of them.
4. Appointment of
director
The NC would then recommend the selected candidate to the
Board for its consideration and approval.
