(d)
the consequences, if any, of share buy-backs by the Company that will arise under the Take-over Code or other applicable take-over
rules;
(e)
whether the Share Buy-back, if made, could affect the listing of the Shares on the SGX-ST;
(f)
details of any Share Buy-back made by the Company in the previous 12 months (whether Market Purchase or Off-Market Purchase),
giving the total number of Shares purchased, the purchase price per Share or the highest and lowest prices paid for the purchases,
where relevant, and the total consideration paid for the purchases; and
(g)
whether the Shares purchased by the Company would be cancelled or kept as treasury shares.
1.3.4 Maximum Purchase Price
The purchase price (excluding brokerage, stamp duties, applicable goods and services tax and other related expenses) to be paid for the
Shares will be determined by the Directors. However, the purchase price to be paid for a Share as determined by the Directors must not
exceed:
(a)
in the case of a Market Purchase, the price per Share which is not more than 5% above the average of the closing market prices
of the Shares over the last five (5) Market Days on the Catalist, on which transactions in the Shares were recorded, immediately
preceding the day of the Market Purchase by the Company, and which is deemed to be adjusted in accordance with the Listing
Manual for any corporate action occurring after the relevant period of the five (5) Market Days period; and
(b)
in the case of an Off-Market Purchase, the price per Share based on not more than 25% above the average of the closing market
prices of the Shares over the last five (5) Market Days on the Catalist, on which transactions in the Shares were recorded immediately
preceding the day on which the Company makes an announcement of an offer under an Off-Market Purchase scheme, and which is
deemed to be adjusted in accordance with the Listing Manual for any corporate action occurring after the relevant period of the five
(5) Market Days period,
in either case, excluding related expenses of the purchase (the ¡°
Maximum Price
¡±).
